Event & Program Participant Agreement

NOTICE OF BINDING TERMS: THE REGISTRATION FOR, ATTENDANCE AT, OR PARTICIPATION IN ANY EVENT, PROGRAM, INITIATIVE, WORKSHOP, CONFERENCE, OR OTHER ACTIVITY ORGANIZED, HOSTED, CO-HOSTED, OR FACILITATED BY GLOBAL HUMANITARIAN COLLABORATIVE INC. CONSTITUTES FULL AND UNCONDITIONAL ACCEPTANCE OF EACH AND EVERY TERM AND CONDITION SET FORTH IN THESE EVENT AND PROGRAM PARTICIPANT TERMS AND CONDITIONS (“AGREEMENT”), INCLUDING WITHOUT LIMITATION THE PROVISIONS GOVERNING BINDING ARBITRATION, WAIVER OF CLASS ACTION RIGHTS, LIMITATION OF LIABILITY, AND RELEASE OF CLAIMS. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS IN THEIR ENTIRETY, YOU MUST IMMEDIATELY WITHDRAW YOUR REGISTRATION AND REFRAIN FROM ATTENDING OR PARTICIPATING IN ANY EVENT OR PROGRAM OF GLOBAL HUMANITARIAN COLLABORATIVE INC.

1. Scope and Acceptance of Terms

This Event and Program Participant Agreement (“Agreement”) governs your registration for and participation in all in-person and virtual events and programs of Global Humanitarian Collaborative Inc. (“Global Humanitarian Collaborative,” “we,” “us,” or “our”), whether offered free of charge or for a fee.

Acceptance of this Agreement is a condition of participation. You accept these terms by: (i) completing a registration form; (ii) submitting payment for a fee-based event or program; (iii) checking an acknowledgment or acceptance checkbox on a registration form; (iv) clicking an “I Agree,” “Register,” “Submit,” or equivalent button; or (v) physically attending any event or program without having formally withdrawn your registration. If you do not agree to these terms, you must immediately withdraw your registration and refrain from participating.

2. Acknowledgment of Organizational Policies

By participating in any event or program, you acknowledge that you have reviewed and agree to comply with the following organizational policies, each of which is available at https://ghccollab.org and incorporated into this Agreement by reference:

2.1 Privacy Statement – governing the collection, use, storage, and disclosure of personal information submitted in connection with your registration or participation;

2.2 Cookie Policy – governing the use of cookies and similar tracking technologies on our website;

2.3 Terms of Use — governing access to and use of our website and digital platforms;

2.4 Code of Conduct – governing participant behavior and expectations at all events and programs; and

2.5 Any supplemental policies, event-specific rules, or participant guidelines communicated to you at or prior to a specific event or program.

We reserve the right, in our sole discretion, to remove any participant from an event or program for failure to comply with applicable policies, without entitlement to any refund of fees paid.

3. Media, Photography, and Recording

By participating in any event or program, you grant Global Humanitarian Collaborative Inc. a non-exclusive, royalty-free, worldwide, perpetual license to photograph, record, and otherwise capture your image, voice, and likeness in connection with the event or program. We may use such materials for educational, promotional, fundraising, and communications purposes across any media, including print, digital, and social media platforms, without further notice to or compensation from you.

If you do not consent to this release, you must notify us in writing at legal@ghccollab.org no later than 48 hours before the start of the applicable event or program.

4. Assumption of Risk

You acknowledge that participation in events and programs involves certain inherent risks, including risks associated with travel to and from event locations, physical or educational activities, interactions with other participants, and the use of digital platforms for virtual events. You voluntarily assume all such risks and agree that we shall not be responsible for any injury, illness, loss, damage, or other harm arising out of your participation, except to the extent caused by our gross negligence or willful misconduct.

5. Release of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY RELEASE, DISCHARGE, AND HOLD HARMLESS GLOBAL HUMANITARIAN COLLABORATIVE INC., AND ITS OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AGENTS, PARTNERS, CONTRACTORS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, “RELEASED PARTIES”) FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, DAMAGES, LOSSES, COSTS, AND EXPENSES OF ANY KIND ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN ANY EVENT OR PROGRAM, INCLUDING CLAIMS BASED ON THE NEGLIGENCE OF THE RELEASED PARTIES, EXCEPT WHERE PROHIBITED BY LAW.

You also agree to indemnify and hold harmless the Released Parties from any third-party claims arising out of your breach of this Agreement, your violation of applicable law, or your acts or omissions in connection with any event or program.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANY RELEASED PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR PARTICIPATION IN ANY EVENT OR PROGRAM, REGARDLESS OF THE LEGAL THEORY UPON WHICH SUCH CLAIM IS BASED.

THE TOTAL CUMULATIVE LIABILITY OF GLOBAL HUMANITARIAN COLLABORATIVE INC. TO YOU FOR ALL CLAIMS OF ANY KIND ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR PARTICIPATION IN ANY EVENT OR PROGRAM SHALL NOT EXCEED ONE THOUSAND DOLLARS (USD $1,000.00), REGARDLESS OF THE FORM OR THEORY OF ACTION.

Some jurisdictions do not permit certain damage exclusions or limitations. In such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law.

7. Dispute Resolution

We hope to resolve any concerns quickly and informally. Before initiating any formal proceeding, please contact us at legal@ghccollab.org so that we may attempt to resolve your concern directly. The process for resolving disputes is as follows:

7.1 Informal Negotiation

Prior to initiating any formal dispute resolution proceeding, the party asserting a dispute must provide the other party with written notice describing the nature of the dispute and the relief sought. The parties shall have 30 calendar days from the date of that notice to attempt to resolve the matter in good faith through informal negotiation. Written notices to us must be sent to legal@ghccollab.org or by mail to Global Humanitarian Collaborative Inc., Attn: Office of Legal Affairs. 971 US Highway 202N, Suite R, Branchburg, NJ 08876.

7.2 Mediation

If the dispute is not resolved within the 30-day informal negotiation period, either party may initiate non-binding mediation prior to proceeding to arbitration. Mediation shall be conducted in accordance with the Mediation Procedures of the American Arbitration Association (“AAA”), or such other nationally recognized mediation standards as the parties may mutually agree upon in writing. Mediation shall be conducted within the State of New Jersey, or via remote means if mutually agreed. Mediation is voluntary and non-binding; either party may withdraw at any time upon written notice. All mediation communications are confidential to the fullest extent permitted by New Jersey law, including the New Jersey Mediation Act (N.J.S.A. 2A:23C-1 et seq.).

7.3 Binding Arbitration

If the dispute is not resolved through informal negotiation or mediation, or if either party elects to forego mediation, the dispute shall be submitted to final and binding individual arbitration administered by the AAA under the AAA Consumer Arbitration Rules, as in effect at the time arbitration is commenced, which are incorporated by reference and available at www.adr.org. Arbitration shall be conducted before a single neutral arbitrator. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

The seat of arbitration shall be the State of New Jersey. In-person hearings, if any, shall be conducted in Somerset County, New Jersey, unless the parties agree to remote proceedings. The arbitrator shall have authority to award any remedy available under applicable law, subject to the limitation of liability in Section 6.

7.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, ALL DISPUTES SHALL BE BROUGHT AND RESOLVED SOLELY ON AN INDIVIDUAL BASIS. YOU AND WE EACH WAIVE THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, OR OTHER REPRESENTATIVE PROCEEDING, WHETHER IN ARBITRATION OR IN COURT. If this waiver is found unenforceable as to a particular claim, that claim shall proceed in a court of competent jurisdiction in New Jersey; all other claims shall remain subject to individual arbitration.

7.5 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or provisional equitable relief from a court of competent jurisdiction in New Jersey to preserve the status quo or prevent immediate irreparable harm, without first proceeding through the steps above. We may also seek judicial enforcement of our intellectual property rights. Claims within the jurisdiction of the New Jersey Small Claims Court may be brought in that forum at the option of either party.

8. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of laws principles. To the extent any matter is not subject to arbitration under this Agreement, or where a party seeks provisional equitable relief, the parties irrevocably consent to the exclusive jurisdiction and venue of the Superior Court of New Jersey, Somerset County, or the United States District Court for the District of New Jersey. Each party waives any objection to the laying of venue in such courts.

9. Cancellation and Refunds

We reserve the right to cancel, postpone, or modify any event or program at any time. In the event of an organization-initiated cancellation, registered participants will be notified via the contact information provided at registration, and any fees paid will be refunded or credited in accordance with our then-current refund policy. Participant-initiated cancellations are subject to the refund terms disclosed at the time of registration.

10. Amendments to this Agreement

We reserve the right to make amendments to this Agreement at any time by posting a revised version at https://ghccollab.org, effective 30 calendar days following the date of posting. We recommend you review this Agreement periodically. Your continued registration for or participation in any event or program following the effective date of any amendment constitutes your acceptance of the revised Agreement. If you do not agree to the amended terms, you must withdraw from all pending registrations and refrain from future participation.

Acknowledgment of Acceptance

BY REGISTERING FOR OR ATTENDING ANY EVENT OR PROGRAM OF GLOBAL HUMANITARIAN COLLABORATIVE INC. – INCLUDING BY CHECKING AN ACKNOWLEDGMENT BOX, CLICKING “I AGREE” OR AN EQUIVALENT BUTTON, OR BY PHYSICALLY OR VIRTUALLY ATTENDING – YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT AND AGREE TO BE LEGALLY BOUND BY ITS TERMS. YOU CONFIRM THAT YOU HAVE HAD THE OPPORTUNITY TO SEEK INDEPENDENT LEGAL COUNSEL PRIOR TO ACCEPTING THESE TERMS.
